Position Title: Senior Legal Counsel Debt Finance & Syndications
Reports to: Chief Finance Officer

Job Location: Kochi, IndiaJOB PURPOSE
Provide legal support and manage debt financing transactions, structured lending, and syndicated
loans for a Non-Banking Financial Company (NBFC). The role involves advising on fundraising,
loan documentation, regulatory compliance, and risk management while collaborating with
lenders, financial institutions, and investors.DESCRIPTION (KRA)
Provide legal guidance on corporate borrowings, debt restructuring, syndicated loans, and
structured financing.
Draft, review, and negotiate loan agreements, credit facility agreements, security
documents, intercreditor agreements, and other financing contracts.
Collaborate with banks, financial institutions, bondholders, and investors for financing
transactions.
Structure and negotiate leveraged finance, asset-backed lending, and debt capital market
transactions.
Ensure compliance with corporate finance regulations, banking laws, and financial
governance standards.
Liaise with regulatory bodies on debt issuances, loan approvals, and reporting obligations.
Stay updated on RBI, SEBI, and other financial regulations affecting corporate borrowing.
Assess and mitigate legal risks in debt agreements, financing structures, and credit
transactions.
Support loan recovery strategies, enforcement of security interests, and dispute resolution.
Provide legal assistance on debt default scenarios, insolvency matters, and refinancing
negotiations.Work closely with treasury, finance, and corporate strategy teams to support fundraising
initiatives.
Engage with external legal advisors, investment bankers, and lenders on financial
transactions.
Participate in high-value negotiations and closings to ensure legal protection for the
company.QUALIFICATIONS, EXPERIENCE & SKILLS
Ideal Candidate
Having worked with in-house legal team of Banks/NBFCs.
The role requires strong expertise and knowledge debt finance, syndicated lending, and
structured transactions.
Understanding of cross-border financing, regulatory compliance, and risk assessment.
Strong drafting, negotiation, and stakeholder management skills.
Ability to manage multiple transactions and deadlines in a fast-paced environment.Qualification & Experience
Law degree (LL.B.) from a recognized university; LL.M. in Banking & Finance law
(preferred).
10+ years of experience in the in-house legal team of a Bank/NBFC/Fintech company.
Familiarity with project finance, asset-backed lending, and trade finance.
