FunctionSecretarialPay BandM3 to M5RoleThe position will provide comprehensive and efficient support to Head Compliance on managing compliance across PAN India through existing Compliance Tool, handling complex legacy shareholders issues and managing Promoter company\'s compliances.A purpose driven role for youThis role will be a part of the secretarial team and will be supporting Head Compliance on managing compliances across India.A Day in the lifeCompliance

• Ensure 100% compliance through the existing Compliance Tool with close coordination with the Tool partner and Internal Users and Approvers.
• Making necessary changes in the tool as per request from Users / business requirement, i.e. User remapping, Legal Patch updation, creation / deletion of Users, resolving technical issues.
• Act as Compliance SPOC for all Users related technical or legal queries and work closely with the internal / external stakeholders on timely resolution of the same.
• Coordinate with all functions on timely inclusion of any new location in the tool, including explaining the compliance requirements and taking names of Users and Approvers.
• Providing necessary trainings on Compliance Tool and Legal Training for the Users and POSH training.
• 100% compliance with the Standard Operating Procedures for handling tool.
• Audit of compliance submitted in the tool.

Corporate Secretarial

• Handle SEBI(LODR) compliance of a High Value Debt Listed Company
• Compliance with Companies Act, 2013
• Handle Issue and Listing of Debentures and Commercial Papers.
• Liaison with NSDL and Stock Exchange for timely approval for Issue and Listing.
• Work on redemption of Commercial Papers and obtaining necessary approvals from Stock Exchange for redemption and cancellation of ISIN.
• Filing of requisite forms with MCA and ensuring Nil penalty / fine / additional fees
• Preparing relevant documents for Board, Committee and General Meetings.
• Support on Corporate actions like redemption of Preference Shares, allotment of Equity Shares and filing of necessary forms.

Shareholders Engagement

• Support on complex shareholders matters including legacy issues and litigation matters.
• Preparing necessary trackers for shareholders matters and report accordingly.
• Preparing monthly MIS on shareholders issues.
• Preparing summary of each case and draft response to the shareholder\'s queries.
• Coordinate with RTA, Law firm while handling the shareholders matters as per defined SOP.
• Work closely with Corporate Legal Team on preparing necessary response on legal notice / Court matters.
• Work closely with RTA ensuing that response from RTA on litigation matters is sent on time.
• Representing the company before the Court of Law, as required.

Academic Qualification & Experience

• CS
• 8-12 years

Technical Skills/Knowledge

• Sound knowledge of Companies Act, 2013 and SEBI (LODR).
• Prior experience of handling compliances related to Debt listed entity.
• Prior experience of handling compliance tool in a company having presence in multiple States.
