Job Description

We are looking for an experienced and proactive Company Secretary to join our team and provide regulatory services to our diverse client. This role is pivotal in ensuring compliance with corporate and regulatory requirements.

Role & responsibilities

Serve as a dedicated Company Secretary to clients, assisting them in meeting their corporate compliance obligations such as company law, FEMA, POSH, RBI, FCRA and other corporate laws. Ensure compliance with applicable laws, regulations, and corporate governance standards. Prepare, maintain, and file statutory & secretarial records, registers, and documentation for clients. Coordinate and organize board and general meetings, including drafting agendas, minutes, and resolutions. Provide guidance on corporate restructuring, mergers, and acquisitions, ensuring legal and regulatory compliance. Help in drafting shareholders and shareholders subscription agreements. Handle corporate secretarial work related to the incorporation and dissolution of companies. Assist clients in maintaining statutory books and records, such as the Register of Members, Directors, and Share Transfers. Monitor changes in corporate and regulatory laws and update clients accordingly. Act as a liaison between clients and regulatory authorities, facilitating necessary approvals and filings. Support clients in matters related to the appointment and removal of directors and company officer. Advise clients on corporate governance best practices and ethical conduct. Build and maintain strong client relationships by delivering exceptional regulatory services. Provide a summary of the role, what success in the position looks like, and how this role fits into the organization overall.

Preferred candidate

profile In-depth knowledge of corporate laws, regulations, and compliance requirements. Proficiency in using MCA website, corporate secretarial tools and MS Office. Excellent communication skills, both written and verbal. Strong analytical skills, attention to detail, and problem-solving abilities. Ability to work independently and manage multiple client engagements. Ethical conduct and the ability to handle sensitive corporate information with discretion. Client-focused with a commitment to delivering high-quality regulatory services. Continued commitment to professional development and staying updated with corporate laws

Job Type: Full-time

Pay: ?450,000.00 - ?900,000.00 per year
