Position Overview: We are seeking a diligent and motivated Semi-Qualified Company Secretary (CS) with prior experience in fund raise compliances, due diligences, ESOPs, private placements, and routine compliance tasks such as drafting of minutes and convening meetings. The ideal candidate will be a serious professional committed to excellence and willing to contribute significantly to our team. Candidates based in Bangalore are highly preferred.

Key Responsibilities:

• Manage compliance processes related to fundraising activities.
• Ensure adherence to regulatory requirements during fund raising and capital infusion.
• Conduct thorough due diligence for investment deals, mergers, acquisitions, and other corporate actions.
• Review legal, financial, and operational documents to identify potential risks and compliance issues.
• Administer and manage ESOP schemes and ensure compliance with statutory regulations related to ESOPs.
• Handle compliance requirements for private placements of securities.
• Coordinate with legal and financial teams to ensure smooth execution of private placements.
• Draft and maintain accurate records of board meetings, annual general meetings, and committee meetings.
• Convene and facilitate meetings, ensuring all statutory requirements are met. Prepare and file statutory forms and returns with regulatory bodies.
• Stay updated with changes in corporate laws and regulations.
• Ensure the company's compliance with applicable laws, regulations, and guidelines. Liaise with regulatory authorities as needed.

Qualifications and Skills:

• Education : Semi-qualified Company Secretary (ICSI) with a strong academic background. Experience: Minimum of 2-3 years of relevant experience in fund raise compliances, due diligence, ESOPs, and private placements.
• Technical Skills : Proficient in MS Office Suite, with strong drafting and documentation skills. Knowledge: Deep understanding of the Companies Act, SEBI regulations, and other relevant corporate laws.
• Communication : Excellent verbal and written communication skills.
• Attention to Detail : Strong analytical skills with meticulous attention to detail.
• Interpersonal Skills : Ability to work collaboratively with cross-functional teams.

Location : Preference for candidates based in Bangalore.
