This position performs work requiring advanced knowledge and routinely requires the exercise of discretion and judgment. It requires advanced knowledge in the field of law and expertise acquired in the field. Scope This position acts in an advisory capacity regarding legal matters to executive, line, and staff organizations within the company, and providing specific legal support pertaining to a large multi-year construction Project. Duties include generally assisting the company and its subsidiaries at all levels in the identification and minimization of risks and reducing legal exposure in relation to existing and future operations of the company. The position will assist the Company by (a) counseling on legal and risk matters (including project, corporate, and compliance risks), (b) advising throughout project execution and contract closeout- including early identification and resolution of project risks to dispute resolution, (c) assisting the Project and the company in satisfying applicable compliance and regulatory requirements and mitigating risks on an enterprise-wide basis. As needed or required by the Project General Counsel (GC), the Deputy GC will represent the Project in negotiations with third parties and their counsel, government agencies, and other outside parties. This role evaluates the impact of existing and proposed regulations, court decisions, and law including any proposed changes in the law that might affect company policies and operating procedures. Principal Job Duties & Responsibilities. . Develop negotiation positions and strategies for company and project transactions . Perform analyses of complex legal issues and evolving legal theories as they relate to project business and contract compliance . Advise and counsel project management on legal and business matters and risk management act as liaison with outside counsel, client representatives, vendors, subcontractors, and governmental agencies . Review various contracts, leases, and other legal documents make recommendations for modification, revision, and clarification as needed . Develop standard documents and perform review of joint venture and partnership documents, non-disclosure and licensing agreements, contracts, and other project documents . Maintain familiarity with industry issues and developing legal theories relating to various aspects of the company\'s operations . Draft original documents and negotiations of complex and high value transactions . Provide advice and counsel on specialized areas of the law . Prepare draft documents and complete necessary forms for filing, procedural compliance, licensing, recording, and other official actions . Prepare synopses and informational documents for in-house and outside party use . Participate in the selection of specialized outside counsel needed to legally assist the company in its operations . Analyze situations, identify, and forecast pertinent problems and evaluate realistic options and recommend/implement appropriate course of action . Organize and prioritize a variety of complex projects and multiple tasks in an effective and timely manner, set priorities, and meet critical time deadlines . Maintain compliance with all applicable policies, procedures, and global standards . Adhere to and support Health, Safety & Environmental and Sustainability Policies . Effectively develop and apply the Core Skills to the job . May need to travel to attend to business related matters . Meet expectations on attendance and punctuality . Perform all other duties as assigned Other Job Duties, Responsibilities, and Requirements Government . Interface with Project management, project personnel, prime and subcontract managers, and other business professionals . Have a working knowledge and competence in providing advice pertaining to construction law, contract negotiations and subcontract management . Utilize experience in dealing with issues that arise under Federal and State law pertaining to government procurements and subcontract flow-down requirements. . Be familiar with industry best practices, and have a working knowledge of Department of Energy and NNSA policies and procedures . Possess significant experience in three or more of the following areas: . Contract Formation - federal/national source selections, preparation of proposals, advising capture teams, and assessing contract risk . Contract Administration - application of government cost accounting standards, preparation of requests for equitable adjustment, and resolution of performance issues . Compliance - post government employment restrictions, mandatory disclosures, corporate self-governance, investigations, export controls including regulatory and licensing requirements . Litigation - bid protests, contract claims, alternate disputes resolution, and commercial litigation . Transactional Contract Reviews- drafting and negotiating teaming agreements, subcontracts, and operating agreements HR/Labor and Employment Law . Work closely with managers, supervisors, and human resource professionals to provide legal advice and counsel on a variety of employment issues including areas of recruiting, hiring, disciplinary actions, terminations, immigration, benefits, employee relations, industrial relations, and policy development . Assist with management of employment related litigation and disputes . Draft and/or review various employment related contracts including benefits contracts, employment agreements, and severance agreements . Provide advice, counsel, and training regarding various federal/national and state/local employment and labor laws including discrimination and disability laws, whistle blower regulations, employee data protection, contingent work issue, drug testing, reduction in force, and the counterparts to these laws in other countries . Provide guidance on employment issues related to various transactional matters including, business contracts and mergers, acquisitions, and divestitures . Have general familiarity with information technology (IT) and intellectual property (IP) issues, including trademark, service mark, trade secret, patents, and copyrights . Be familiar with IT regulations (CMCC, Sarbanes-Oxley, etc.), security, data privacy, and export compliance issues . Assist Project with establishing legally sound policies and procedures, and providing guidance related to access and use of (including third party access and use to) the Fluor computing environment, software, systems, the Fluor collaboration platform, Fluor University, and other IP . Provide guidance on all legal matters relating to information technology including compliance, enforcement, on-boarding and off-boarding activities . Draft and negotiate IP provisions in project contracts and Task Orders as necessary . Advise internal clients of appropriate IP protections, address internal IP questions Litigation . Assist in witness and document location and identification . Review relevant pleadings including discovery . Organize and track key dates for execution of disputes process . Prepare responses in draft for discovery or pleadings . Manage outside counsel in dispute resolution process . Contribute to strategy and planning of dispute resolution process . Manage budgets of outside counsel and apply discipline to budge process Basic Job Requirements . Accredited professional law degree and ten (10) years of related work experience, and an active State bar license . . Ability to communicate effectively with audiences that include but are not limited to management, coworkers, clients, vendors, contractors, and visitors . Job related technical knowledge necessary to complete the job . Ability to learn and apply knowledge of applicable local, state/province, and federal/national statutes and guidelines . Ability to attend to detail and work in a time-conscious and time-effective manner .These are the typical years of experience required for this job. Flexibility, versatility, and ability to deal with multiple issues, priorities, and personnel is expected and required . Capacity to collaborate with others and outstanding time-management abilities are essential . Demonstrated ability to work with and manage outside counsel and deal with internal clients at many different levels within an organization . Proficient in the use of computers to include the use of word processing, e-mail, spreadsheets, and electronic presentation programs . Familiarity with national and local litigation practice . Knowledge of civil, common law, dispute resolution, arbitration (domestic and international) . Ability to strategize towards end results/objectives . Ability to manage outside counsel to budgets and progress schedule . Security Clearance L / Secret or above preferred but not required.
