Perforce is looking for an individual who thrives in a fast-paced work environment, is very detail-oriented, possesses strong problem-solving skills, experience managing staff, and has the ability to work independently while managing multiple priorities and deadlines.This role will handle the management of, in collaboration with the Commercial Transactions Manager, the commercial and contractual arrangements with Perforce customers, suppliers, and partners who are primarily located outside of the United States. The position will be with the Perforce Legal Department, and you will work closely with cross-functional teams, including Sales, Procurement, Finance, Revenue Operations, and others as required to negotiate and manage contracts and ensure compliance with contractual obligations. The position willalso be responsible for implementing commercial legal processes in connection with our legal operations team and supporting business development initiatives.Responsibilities:

  • Grow and scale a team that will successfully partner with and support the expanding sales and procurement organisations.
  • Manage, supervise, and train a team in drafting, reviewing, and negotiating on-premise license agreements, Software as a Service agreements, channel agreements, partner agreements, assignment and assumption agreements, and other commercial agreements.
  • Drafting, reviewing, and negotiating complex on-premise license agreements, Software as a Service agreements, professional services agreements, channel agreements, partner agreements, data processing agreements, and other commercial agreements.
  • Provide practical, commercial advice to global sales executives and internal stakeholders on a variety of sales- and support-related issues, balancing business objectives with legal risks, including identifying, managing, and communicating risks and opportunities in revenue transactions and analyzing and interpreting complex business and legal contractual provisions.
  • Partner with sales, revenue operations, finance, security, customer success, and other functions to ensure efficient and effective legal support for commercial transactions.
Qualifications:
  • Undergraduate or higher-level degree required. Experience in a related position of increased responsibility will be considered in lieu of degree.
  • Demonstrated experience in working with customer and supplier agreements in the EMEA and Asia-Pacific markets.
  • 8+ years of experience, with at least 5 years of hands-on experience in drafting and negotiating software and technology on-premise software licensing agreements, cloud/hosted software agreements, Software as a Service agreements, and/or Platform as a Service agreements.
  • Progressive experience in guiding and managing small teams a plus.
  • Excellent drafting skills and ability to adapt legal requirements in balanced, creative, and pragmatic ways, consistent with Perforce objectives, policies, and processes.
  • Excellent negotiator who is able to effectively navigate issues externally and internally, including across departments, with strong interpersonal skills.
  • Well-organized and able to work on tight timelines while handling multiple projects.
  • Strong team, business, project, and people management skills.
  • Brings a desire to learn about the Perforce business, the teams with whom we partner, and the customers we support.
  • Experience in-house at a technology company highly preferred.
  • Experience with contract management systems a plus.
