Handle Secretarial work of all business units
Directly report to General Manager - Legal in India
Key goals: ensuring compliances under Companies Act, FEMA and other applicable laws
Your Responsibilities:
Independently handling the secretarial work of the Company including convening of timely Board Meetings, Annual General Meetings, Emergency General Meetings, drafting of agenda of Board/Committee meetings, minutes of Board Meetings;
Handling of MCA, ROC, SEBI, RBI compliances;
Handling of M&A, Equity Infusion, External Commercial Borrowings, Rights Issue;
Stay updated on latest regulations and amendments;
Maintain records of all secretarial and legal work including litigation files, minute books, statutory registers, forms, share transfer and dematerialization;
In-depth knowledge of corporate governance principles, regulations and corporate best practices;
Keeping track of all applicable laws including Companies Act, FEMA etc;
Drafting, reviewing and vetting of agreements;
Providing legal opinion and advise to the Management on various corporate and commercial matters;
Liaise with external lawyers and consultants;
Reply to legal notices received from authorities, regulators, vendors, or any other third party;
Assist General Manager - Legal in India in providing legal advice and counselling to the local and regional business.
Your Profile:
Qualified Company Secretary (Member of ICSI);
LL.B (Preferred);
7-10 years PQE;
Ability to take added responsibilities and grow within the organization.
Highly motivated, proactive, self-disciplined and team-oriented;
Ability to work independently and under pressure to meet deadlines;
Good drafting skill;

Work independently with general supervision and direction from line manager in furtherance of department goals;
Ability to work under pressure in a fast-paced and dynamic environment while handling multiple competing tasks simultaneously to closure;
Strong interpersonal and communication skills, with the ability to interact with Board Members, Senior Management, Foreign Shareholders and other internal and external stakeholders.
