Job Description

Areas of Responsibility

• Provide legal advice and support for transactions in project finance (roads, airports, ports, solar, wind, telecommunication, education, healthcare etc), corporate lending and debt and capital markets.
• Drafting and vetting of financing and security documents (including loan agreements, consortium documents, escrow agreements, trust and retention account agreements, security documents such as mortgages, pledges, hypothecation, guarantees, counter guarantees, etc).
• Drafting and vetting of general agreements like non-disclosure agreements, memorandum of understanding, engagement letters etc.
• Advising on the applicability and drafting and vetting of resolutions and other corporate authorisations.
• Addressing legal queries and providing inputs on deal structures/security structures based on extant laws and regulatory framework.
• Conducting due diligence on constitutional documents and underlying transaction/commercial documents- for instance articles of association, memorandum of association, consortium agreement, power purchase agreements, lease deeds, license agreements, project agreements, shareholders
