Legal Executive with 3 years of experience preferably in Real Estate / Construction/ Infrastructure Industry with experience in legal documentation. 1. Well conversant with MCA-21, i.e. online filing, online inspection, Facilitating and filing annual returns and secretarial audit reports 2. Audits of Companies for the purpose of Compliance Certificate & Secretarial Audit. 3. Preparing a compliance calendar and taking care of all Companies Act, FEMA and other relevant compliances and filings. Preparation of Corporate Governance Report. 4. Reorganization of company like change in authorized capital, change of name, Shifting of Registered Office and any other alteration in MOA & AOA. 5. Preparation and maintenance of various Statutory Books and other records including registers of members, directors, secretaries and shareholders with their past and present shareholdings. 6. Preparation of Director\'s Report and Annual Return, Filing of Balance Sheet and Profit & Loss Account in XBRL. 7. Preparing a compliance calendar and taking care of all Companies Act, FEMA and other relevant compliances and filings. 8. Incorporation of Companies, Formation of Firm/ JV 9. Appointment of Managerial Persons and all the matters related to managerial remuneration. 10. Drafting of Agenda, Notice and Resolution for the Board meetings, Committee meetings and for AGM (including Special Notices). (We should have this, as a professional company) 11. Preparation of Search Reports, Due Diligence Report and Statutory Report etc., Legal documents pertaining to real estate, Architecture & Interior Contracts etc. 12. Drafting of Various types of Agreements, Deeds & legal documents. 13. Co-ordinate with Legal Consultants for Legal Due Diligence & Liasioning dept. etc. 14. Reviewing, vetting and advising on various corporate legal issues relating to the company, its investee companies and/or group/affiliate companies in India or abroad
