Key Responsibilities:
Stock Exchange Filing: Assist with online filing requirements for the company on the stock exchange.
Secretarial Records Management: Maintain and update secretarial records for the listed company and its group companies.
Annual Report Preparation: Assist in the preparation of the annual reports for the company and group companies.
Minutes Preparation: Prepare minutes for board meetings, committee meetings, and other relevant corporate meetings.
Compliance Assurance: Ensure compliance with listing regulations, SEBI guidelines, and the Companies Act, 2013.
Filing with Regulatory Authorities: Assist in preparing and filing annual returns, financial statements, and other forms with regulatory authorities.
Board and Committee Meetings: Assist in organizing and conducting board meetings, committee meetings, and bankers' meetings.
Statutory Records Maintenance: Maintain statutory books and registers, including registers of members, directors, and other statutory records.
Day-to-Day Support: Provide support in day-to-day secretarial and legal tasks and other assignments as required.
Required Qualifications & Skills:
Bachelor's degree in Commerce and completion of the CS Executive Programme (for trainees) or Semi-Qualified Company Secretary with 1+ year of relevant experience.
Strong knowledge of Company Law, SEBI LODR (Listing Obligations and Disclosure Requirements), SEBI SAST (Substantial Acquisition of Shares and Takeovers), and SEBI PIT (Prohibition of Insider Trading) regulations.
Good understanding of stock exchange processes and regulations.
Strong organizational skills with keen attention to detail.
Excellent written and verbal communication skills.
Proficiency in MS Office (Word, Excel, PowerPoint) and online filing systems.
