Core Purpose of the Role

• Provide support and assistance to global M&A activities of the company
• Collaborate extensively with corporate development and various functional teams throughout the acquisition lifecycle, from negotiating term sheets to finalizing deals, managing deal processes, drafting and negotiating documents, facilitating deal closures, and managing post-closing integration and indemnification matters.
• Conduct legal due diligence in acquisitions, co-ordinate with other teams and highlight risks to senior leadership
• Strengthen and monitor the data privacy framework of the company
• Strengthen and monitor the ethics initiatives of the company
• Provide assistance on all special projects or strategic initiatives of the company
• Provide assistance to manage assignments involving intellectual property law (assignment agreements, trademark filings, trademark searches, patent filings etc)
• Driving continuous improvements and operational excellence in the core areas of work on M&A, data privacy and ethics

Role Accountabilities

• Draft, review and negotiate M&A transactional documents, data privacy documents, contracts
• Handle legal due diligences in M&A transactions of the company
• Lead integration activities post-acquisition from legal perspective
• Support the privacy office regarding the operation of Syngene\'s global privacy program
• Monitor and advise on compliance and implementation of emerging data privacy laws
• Support the global contracts team regarding data privacy and anti-bribery and corruption and other ethics related questions, contract reviews and negotiations
• Legal support to the internal stakeholder teams such as information security team regarding third party risk management, data privacy breach analysis and response
• Draft and review privacy notices, consents and global contract templates
• Manage the intellectual property profile of the company
• Manage and supervise external counsel work, as and when necessary
• Plan and conduct employee training programs on data privacy and ethics

Specific requirements for this role

• Experience: Minimum of 3-5 years of work experience primarily in M&A (buy-side/ strategic acquisitions preferred), data privacy matters, and general contracts (all three areas mandatory). Exposure to various global data privacy laws and requirements.
• Demonstrated Capability: Experience in working on M&A transactions and conducting due diligence in addition to working in the area of data privacy. Exposure to the area of ethics will be an advantage.
• Education: Graduate or post-graduate in law. Data privacy certifications will be an added advantage.

Skills and Capabilities

• Exposure to working on M&A deals in multiple jurisdictions (experience in pharma industry will be an advantage)
• Experience in creating/ handling data privacy framework and filing trademarks, patents, handling intellectual property matters
• Ability to work under pressure, prioritize and manage workloads to meet deadlines in an exciting fast paced environment.
• Good knowledge of corporate laws, contracts laws, intellectual property laws and foreign investment regulations
• Team player who can successfully communicate with other legal team members and cross-functional team members.
• Prior experience working in in-house legal teams and/or law firms.
