What\'s the role As Legal Counsel (Sales Legal), you will be a point of contact to provide legal support focused on supporting contracts with our business customers in the EMEA region (including NDAs, Evaluation Agreements, Professional Services Agreements, License Agreements and Cloud Services Agreements). You will be a member of the EMEA Legal Team, reporting to the Head of Legal EMEA - Commercial Transactions (based in Berlin) and work closely with other Legal Counsels based in Mumbai and Berlin. You will also be a member of the broader Global Legal Team, which is comprised of highly qualified and experienced lawyers located around the world (amongst other locations, HERE\'s lawyers are located in Chicago, Berlin, Mumbai, Beijing and Tokyo). Your main responsibility will be supporting our EMEA Sales team with respect to all legal questions concerning their deals with our business customers in Europe, Middle East, and Africa. Your responsibilities will include: Working independently with internal clients/stakeholders and business customers in the EMEA region, supporting end-to-end negotiations and execution of customer contracts. These contracts include NDAs, evaluation agreements, purchase orders, amendments, renewals, professional services agreements, license agreements and cloud services agreements. Reviewing, redlining, drafting and providing feedback on customer agreements/documents and customer\'s comments to our standard agreements/documents. Supporting our EMEA Sales team in negotiating the contracts with our customer and opposing counsel. You will be the lead lawyer for your deals, and you will be participating in customer negotiations as the sole representative from Legal. Communicating via email and videocall with various internal stakeholders and customers.Interpretating pre-existing commercial agreements. Supporting our EMEA Sales team in creating the right contract drafts for their business case. Creating and maintaining training materials for the Sales team and leading workshops about the contracting process. Who are you A minimum of 5 years of relevant legal experience in a law firm or in-house at a technology focused company. Experience in reviewing, drafting, and negotiating commercial agreements. Experience in working with stakeholders outside of India. Qualified LLB or LLM with strong academic credentials from a top law school in India or abroad. Knowledge and Skills Excellent English language and communication skills both spoken and in writing Excellent legal drafting and negotiation skills. Ability to explain contract risks and obligations to non-lawyers. Attention to detail, speed, and efficiency in reviewing and drafting documents. Knowledge of intellectual property rights that are relevant for license and cloud services agreements. Excellent organizational, communication, interpersonal and management skills Proven ability to manage many simultaneous contract negotiations within required deadlines. Experience negotiating with opposing counsel. Ability to work well independently as well as in a cross-functional team.
