Job Title: Legal & Regulatory (Company Secretary)

Reporting to: Manager, Legal & Regulatory (Company Secretary)

This role involves supporting the legal and regulatory team by handling various corporate secretarial tasks, ensuring compliance with local and global legal requirements, and working closely with regional teams, business groups, and directors. Global compliance experience is mandatory for this position.

Key Responsibilities:

• Draft Meeting Minutes: Write minutes for board and shareholder meetings.
• Manage Share Transactions: Oversee share allotments, transfers, and proper recording of equity transactions.
• Statutory Filings & Returns: Prepare and file required company forms and returns within deadlines.
• Update Company Documents: Assist in amending company documents, including charters and articles of association.
• Appointment/Resignation of Officers: Organize and record the appointment and resignation of company officers.
• Document Templates: Create and maintain standard templates for corporate secretarial work.
• Maintain Corporate Records: Keep statutory records updated on platforms such as Diligent, Sharepoint, and OneDrive.
• Generate Reports: Produce reports from Diligent or other systems as needed.
• Support SOPs & Automation: Assist in creating Standard Operating Procedures (SOPs) and process automation for compliance tasks.
• Corporate Filings: Prepare and submit documents for corporate filings with regulatory authorities.
• Due Diligence & Capital Activities: Assist in due diligence processes and capital/debt infusion activities.
• Global Compliance Management: Ensure compliance with both local and international laws, including FATCA, CRS, KYC, and other global regulatory standards.
• Structure Charts: Create company structure charts using PowerPoint or similar tools.
• Regulatory Knowledge: Stay updated on laws like FATCA, CRS, KYC, and other regulatory frameworks across multiple jurisdictions.
• Questionnaire Completion: Complete regulatory questionnaires related to various group entities.
• Corporate Governance Updates: Provide updates on global corporate governance changes and proposed law reforms.

Requirements:

• Qualifications: Associate member of the Institute of Company Secretaries of India.
• Experience: 3 to 5 years of experience in managing corporate compliance, particularly in large and complex organizations with global operations.
• Global Compliance Experience: Mandatory experience in managing offshore compliance, including familiarity with global regulatory frameworks (e.g., FATCA, CRS, KYC).

Skills:

• Strong Communication Skills (verbal and written).
• Organizational & Multitasking Abilities to handle multiple responsibilities simultaneously.
• Proficiency in MS Office (Word, Excel, PowerPoint) and corporate record management tools (e.g., Diligent, iManage).
• Attention to Detail and a strong focus on compliance and accuracy.
• Ability to Work Independently and as part of a team, ensuring timely and accurate completion of tasks.
• Adaptability in a fast-paced, high-pressure environment with competing priorities.

• Professional & Accountable : Able to take ownership of tasks, with a proactive approach to managing responsibilities.
• Global Compliance Awareness : Strong understanding of international compliance standards and ability to manage multi-jurisdictional regulatory requirements.

• Proactive & Independent : Able to work with minimal supervision while meeting deadlines and delivering high-quality work.
• Strong Communication Skills : Effectively liaising with global teams, stakeholders, and business groups.
• Global Compliance Experience : Essential to handle the complexities of international regulatory environments.

Job Types: Full-time, Internship

Pay: ?800,000.00 - ?1,500,000.00 per year

Schedule:

• Day shift
• Monday to Friday
