Job Overview :
We are seeking an experienced Freelance Corporate Legal Advisor to assist in providing comprehensive legal services for a variety of corporate and business-related matters. As a freelance advisor, you will be expected to offer strategic legal advice to clients, ensure compliance with relevant laws, and help mitigate legal risks for businesses. This role involves collaborating with internal teams and acting as a trusted advisor on a variety of corporate legal issues.

Key Responsibilities :

• Corporate Governance :
• Advise businesses on corporate governance, including the roles and responsibilities of directors, officers, and shareholders.
• Assist in the drafting, reviewing, and updating of corporate policies and procedures.
• Provide guidance on the legal requirements of business operations and structure.
• Contract Negotiation and Drafting :
• Draft, review, and negotiate contracts and agreements, such as service agreements, partnership agreements, and vendor contracts.
• Ensure that contracts comply with applicable laws and protect the client's interests.
• Provide advice on dispute resolution and enforcement of contractual rights.
• Mergers & Acquisitions (M&A) :
• Provide legal support for M&A transactions, including due diligence, structuring deals, and preparing necessary legal documents.
• Advise on regulatory compliance, anti-trust laws, and other legal considerations relevant to M&A.
• Compliance and Regulatory Guidance :
• Advise on regulatory requirements, including data protection, employment law, tax regulations, and industry-specific laws.
• Assist with internal audits, compliance checks, and the implementation of legal risk management strategies.
• Intellectual Property :
• Offer legal advice on intellectual property matters, including trademarks, copyrights, patents, and trade secrets.
• Assist with IP registrations, enforcement, and dispute resolution.
• Risk Management :
• Identify potential legal risks and provide advice on minimizing legal exposure.
• Recommend and help implement risk management strategies, including insurance and liability matters.
• Litigation Support :
• Provide support for litigation, including the preparation of legal documents, settlement discussions, and court appearances if necessary.
• Help manage external law firms or in-house legal teams during legal proceedings.

Qualifications :

• Juris Doctor (JD) or equivalent legal qualification.
• Proven experience (typically 5+ years) in corporate law, including familiarity with business laws and legal compliance.
• Strong understanding of corporate governance, M&A, contract law, intellectual property, and regulatory frameworks.
• Ability to work independently and deliver high-quality legal advice under tight deadlines.
• Excellent negotiation, communication, and drafting skills.
• Experience in working with businesses of various sizes and industries is preferred.
• Licensed to practice law in the relevant jurisdiction (varies depending on the client's location).

Preferred Skills :

• Experience with international law or cross-border transactions.
• Background in specific industries (e.g., manufacturing , power distribution sector) is a plus.
• Ability to advise on emerging legal issues (e.g., data privacy, cybersecurity).

• Freelance role with flexible hours and work arrangement.
• Compensation based on experience and scope of the project.
• Duration and workload vary depending on the specific needs of the client.
