Line of Service Internal Firm Services Industry/Sector Not Applicable Specialism IFS - Office of General Counsel (OGC) Management Level Manager & Summary A career in Office of General Counsel, within Internal Firm Services, will provide you with the opportunity to be a part of the Firm’s legal department by providing dedicated legal support in the areas of litigation, counselling, and corporate, commercial, and employment law. You’ll play an important part in all aspects of regulatory proceedings involving the Firm and its personnel by supporting on regulatory issues, advising the Firm on matters relating to its operations, supporting the Firm’s client contracting function, and advising on matters related to employees.

Qualification: ACS/FCS Member of the Institute of Company Secretaries of India
Experience: 5-7 years
Key Responsibilities
1. Convening and conducting Board Meetings, General Meetings, Committee Meetings etc.
2. Preparation of draft notices, agenda and minutes of the Board, Committee and General Meetings.
3. Drafting of various resolutions and Board’s Report under the Companies Act, 2013.
4. Review and filing of applicable statutory forms with the Ministry of Corporate Affairs.
5. Maintaining Statutory Registers and Records under the Companies Act, 2013.
6. Ensuring all annual compliances of directors including appointment and resignation of directors under the Companies Act, 2013.
7. End to end support to the CSR Council Team w.r.t. CSR activities like due diligence of the NGOs, drafting of MoUs etc.
8. Ensuring timely filing of Foreign Assets and Liabilities Return with the RBI under the FEMA.
9. Handling of various audits (like internal, statutory, ISO etc.) vis-à-vis Legal and Secretarial function.
10. Effective coordination with other functions like Finance to ensure timely regulatory compliances.
11. Assisting in labour laws and other areas of compliance related activities of the Organization as and when required.
12. Coordinating with external legal counsel/consultants for legal opinions on secretarial and other compliance areas as and when required.
