:1) Job Purpose:To support the Cluster operations as a strategic business partner by: - Conceiving and implementing legal solutions to meet the business objectives within the statutory framework through astute legal advice while optimizing cost. Provide legal oversight and effective support to execute potential JV/M&A opportunities identified by business by timely advice at each stage and closure of transaction. Streamlining and driving processes like Litigation Management, Contracts Management, managing land records, identifying ESG risks, Corporate Governance, training and development for self, team and business etc. Driving legal compliance in the respective downstream units (details mentioned below), ensure robust follow up and completion of action items and periodic reports to Apex Compliance Committee. This also includes crossfunctional audits. Support the ERM team to identify, assess and monitor the ESG risks, among others. Drive in house counsel to play more active role in business transactions and issues and rationalize use of external legal help. Advising team on latest amendments to legislations and other legal developments impacting business; Manage the team of 3 professionals located in different locations, actively supporting the business teams.4) Key Result Areas/Accountabilities:Key Result Areas/AccountabilitiesSupporting ActionsAdvisory and business legal supportAct as a strategic business partner on matters impacting business and provide guidance and counsel on all aspects of the business legal and compliance risk and opportunities. Provide business-oriented solutions and advice to the management, business areas/units located in various places in India and to facilitate achievement of the business goals and objectives. Connect with business 1:1, identify gap/expectations, formulate plan to provide support Support the business teams in relation to their legal documentation and advisory needs. To handle and coordinate on all legal matters in relation tothe downstream business.Commercial DocumentationAdvise all downstream aluminium business units on all legal questions and issues, including advisory, drafting, reviewing and negotiation of all legal documents and transactional support on key deals and projects, in order to mitigate risk exposures to the company. Draft, review, revise and negotiate commercial and other agreements to ensure that legal risks are minimized or eliminated and also ensure compliance of Company s internal risk parameters/policies as well as applicable laws or regulations. Detailed review of legal documents to identify potential risks to the business. Raise red flags and make recommendations to the business to resolve issues. Participate in meetings with counterparts /business team to discuss and negotiate the terms of contracts. Quick turnaround of documents.M&A/ProjectsProvide legal oversight and effective support to execute potential M&A/JV, investments and other strategic transactions identified by the business in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration. Leverage IP analytics to provide insight on potential acquisition opportunities/adjacency for driving business growth.Handling disputes, arbitration litigationandProvide strategic direction to litigation/arbitration matters. Strategize keeping in mind business Interests Identify existing litigations and explore opportunities to close with minimum or no exposure to business. Reduce litigation/ cost To guide the business on all types of litigation, briefing lawyers and reviewing the documents relevant for legal proceedings.Statutory Compliance and RegulatoryIdentifying opportunities to make representations to concerned statutory/ regulatory authority / body/ ministry through active policy advocacy. Supporting business teams in formulating/drafting responses and representations to various statutory authorities. Driving legal compliance in the respective downstream units (details mentioned below), ensure robust follow up and completion of action items and periodic reports to Apex Compliance Committee. This also includes crossfunctional audits. Support the ERM team to identify, assess and monitor the ESG risks, among others. Ensure preparation of compliance audit report and discuss with Unit head and present to the compliance committee Implementation of action-plan for compliance in time bound manner. Work closely with business and Govt. Affairs in representing on issues impacting businessboth current and future and work towards influencing law makers including regular monitoring of critical statutory approvals (e.g. CTE/CTO/EC/FC etc) and provide continuous guidance and assistance. To track changes in law and institute a monthly alert mechanism to keep business updated on changes in relevant laws/ regulations on a real time basis, its repercussions and make strategy accordingly.Systems / Organization/Process Governance/Identify gaps in operational process and suggest improvements to existing SOPs, implement new process with appropriate SOPs/providing timely guidelines. Assist in stablization of ProVakil, roll out reports to business clientsfor realtime update on litigation status / updates. Continue to work on non-financial risk across locations- work closely on ERM with the Risk team for non- financial risk framework. Strengthen EY Tool to ensure more accurate reflection of status of compliance on ground, keeping live changes in user/approver and work with business in ensuring implementation of remedial measures as well as drive awareness regarding risk of non- compliance. Implement Symfact Contract Management System to ensure TAT on transaction documents, provide best in class repository of templates, and provide risk and milestones in each contract to avoid exposure.CostDrive in house counsel to play more active role in business transactions and issues and rationalize use of external legal help to achieve reduction of external cost. Play active role in commercial disputes and business advisory to avoid litigation where feasible.People and team developmentCreate awareness on changing legal environment Provide training to your stakeholders on legal aspects Capability Building of self and team.
