Job Title: Full-Time, Remote, Finance and Tax Due Diligence Specialist (Based in India)MLabs Group Ltd is actively seeking an experienced Finance and Tax Due Diligence Specialist to join our \'Vetnovo\' team, focusing on the veterinary sector in India. As a leading player in the industry, we are committed to expanding our presence through strategic acquisitions and rollups in the veterinary domain. The Finance and Tax Due Diligence Specialist will be a key contributor, overseeing financial due diligence and providing expert guidance on legal and tax matters to support our growth initiatives in the Indian market.RequirementsKey Responsibilities:

• Execute financial due diligence internally, adhering to the agreed scope.
• Identify risks, establish the scope of financial due diligence procedures, and lead the execution of diligence activities to meet timelines.
• Provide recommendations on transaction agreement terms based on diligence findings.
• Identify deal issues impacting the financial model, coordinating with the Corporate Development Team.
• Assess and conclude on accounting issues, communicate quality of earnings issues, and identify unrecorded liabilities or debts.
• Offer insights on cost synergies, quality of the targets finance organization, and the internal control environment.
• Document and communicate post-close considerations for controllership and broader CFO organization.
• Identify any accounting implications of employment and retention agreements.
• Operate in a team-oriented environment, collaborating on transactions and coordinating across functions as needed.

Mandatory Capabilities/Skills:

• Understanding of various aspects of financial and tax due diligence, with the ability to identify and escalate complex accounting issues.
• Expertise in executing financial due diligence, including financial and data analysis, and coordination across various stakeholders.
• Ability to plan, manage, and execute financial due diligence plans in a timely manner, handling multiple transactions simultaneously with appropriate internal advisor support.
• Highly effective communication skills and excellent professional judgment.
• Minimum 5+ years of experience in a technical accounting role with M&A experience, business valuations, transaction risk assessment, and relevant business experience.
• Experience with cross-border M&A transactions.
• Prior experience in performing due diligence on service companies preferred.
• Must be a CA/Chartered Accountant.

Demonstrated Experience:

• Work closely with the Head of Finance to align strategies and contribute to the overall success of the finance and tax teams.
• Strong analytical and problem-solving skills with attention to detail.
• Excellent communication and interpersonal skills.
• Ability to work independently and as part of a remote team.
• Experience working with mid-tier external firms for finance and tax matters is advantageous.
