ServiceNow is seeking a talented, highly motivated, experienced team leader to serve as Stock Plan Administrator, supporting the continued growth of ServiceNow globally. This person will be primarily responsible for leading the administration of our global equity plans, including the processing of equity transactions in compliance with governing stock plan documents and regulations. This full-time position, reporting into the head of the U.S. corporate legal team, requires a seasoned leader and team player who can work with internal and external stakeholders and who can lead a high functioning team that produces accurate and precise work product with minimal supervision in a fast-paced, high-energy environment. What you get to do in this role: Lead all aspects of the Company\'s equity program, including the administration, communication, and compliance of equity awards. Lead the stock team and provide guidance on a variety of stock administrative matters. Lead the development and refinement of processes or projects to enhance the efficiency and effectiveness of the team and the expansion into new jurisdictions (e.g., automation and integrations with various systems). Partner with Legal, Finance, HR, Compensation, external tax experts and other cross-functional teams to ensure timely global reporting and satisfaction of compliance requirements. Ensure the team maintains detailed documentation of all stock related processes and procedures and is accountable for successful completion of stock team SOX controls. Assist with legal and disclosure related matters, including in relation to the proxy statement, beneficial ownership reporting and mergers and acquisitions. Lead and mentor the stock team and provide guidance. Reconcile transactions, termination dates, tax withholding and reporting, and other items as required. Work with vendors for outsourced administration and transactions, focusing on controls, accuracy and timeliness. Ensure the team maintains detailed documentation of all stock related processes and procedures and maintains accountability for successful completion of stock team SOX controls. Qualifications In order to be successful in this role, we need someone who has: 12+ years of experience in stock administration in a publicly traded company Bachelor\'s degree required Proficiency in MS Office applications, advanced proficiency in Excel Certified Equity Professional (CEP) Hands-on experience with outsourced equity platforms Experience with global equity plan compliance and mobile employee taxation process Comprehensive understanding as well as hands-on experience in the different types of equity awards and public company equity programs across jurisdictions Familiarity with Section 16 reporting (Forms 3, 4 and 5) Additional Information ServiceNow is an Equal Employment Opportunity Employer.
