Job Description


Main responsibilities:Provides and performs effective Corporate Secretary function for Sanofi Group companies in India, assist the Head of Legal & Company Secretary and ensure compliance with the requirements of the Indian Companies Act, related rules and regulations, that apply to private and public listed companies in India.Specifically:

  • Ensure compliance with the Companies Act, Listing Regulations, SEBI Regulations, compliances under FEMA and other corporate Laws in collaboration with Legal, Finance leadership and other functions
  • Advise on Company law matters related to Sanofi India affiliates to senior management.
  • Ensure compliances under SEBI Insider Trading Regulations and other disclosure requirements under SEBI LODR.
  • Lead the Risk Assessment for the listed company, prepare the Risk management framework, policy and seek periodic updates from Function Heads and Leadership Team
  • Administer and prepare minutes of Board / Committees of the Board ensure the timely preparation and the smooth conduct of the Board affairs
  • Contribute to the planning and preparation for the Board Meetings, various Committee meetings, Annual General Meeting and other shareholder meetings.
  • Ensure that all filings required to be made with Stock Exchanges and Registrar of Companies are done in time.
  • Assist the Head of Legal & CS, to manage the Investor Relations with key investors, Handle arrangements for Investor Calls/ Meets, shareholders grievances, RTA services, etc.,
  • Work with the Head of Legal & CS for conducting and manage the meetings of the Audit Committee, Stakeholders Relationship Committee, Nomination and Remuneration Committee and Corporate Social Responsibility Committee of the Board of Directors and keeping the management informed of the requirements to be complied with under the Listing Agreement and Companies Act
  • Interact with SEBI/ Stock Exchanges on all investor grievances and Corporate Governance requirements.
  • Coordinate with the Group/ lawyers on corporate legal aspects of Projects such involving legal re-structuring.
About you
  • Experience: At least 10-12 + years of work experience with substantial exposure to working in a listed company
  • Soft skills: Good communication and interpersonal skills. Good drafting skills.
  • Technical skills: In-depth understanding of the Corporate Law and SEBI Laws, with experience in handling compliances independently in a listed entity
  • Education: Member of the Institute of Company Secretaries of India with a Law Degree
  • Languages: Fluent written and spoken English
