Ensure compliance with the Companies Act and other relevant laws applicable in India.
Keep abreast of changes in local legislation and regulations.
Facilitate board and committee meetings, ensuring compliance with legal requirements.
Draft and maintain minutes of meetings and resolutions.
Act as a liaison with regulatory authorities, such as the Ministry of Corporate Affairs (MCA) and the Registrar of Companies (RoC).
Manage communication with shareholders, handling matters such as share transfers, issuances, and dividends.
Maintain the statutory register of members.
Maintain and update statutory records, including the register of directors and secretaries.
Ensure proper documentation of board decisions and resolutions.
Provide guidance to the board on legal and regulatory matt
Keep the board informed about corporate governance best practices.
Provide training to board members on their roles and responsibilities.
Stay informed about developments in corporate law and governance practices.
Assist in the preparation of board agendas, collation of board papers, and distribution of relevant documents to board members.
Contribute to the identification and management of legal and regulatory risks.
Advise on legal implications of business decisions.
The Company Secretary should also stay updated on any changes in legislation that may impact the company's operations.
Advising authorities and BOD (Board of Directors) in risk management; business policies and strategies; corporate social responsibilities; brand equity & image building; managing intellectual rights of the company; ensuring healthy communication between stakeholders; authorities and government.
