Job Description

We are looking for a Company Secretary to join our team. The ideal candidate will ensure the company complies with financial and legal requirements, as well as maintaining high standards of corporate governance. We are looking forward for C.S who has worked for listed company.You will be responsible for ensuring the efficient administration of the company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented.

Key Responsibilities:

• Ensure the company complies with its governing document, company law, and any other relevant legislation or regulations.
• Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
• Take minutes, draft resolutions, and lodge required forms and annual returns with Companies House.
• Follow up on actions from meetings and maintain statutory books, including registers of members, directors, and secretaries.
• Oversee policies, making sure they are kept up to date and referred to the appropriate committee for approval.
• Provide legal, financial, and/or strategic advice during and outside of meetings.
• Maintain effective communication between shareholders and the company, including managing shareholder correspondence, and issuing notices of meetings.
• Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
• Liaise with external regulators and advisers such as lawyers and auditors.
• Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.

Qualifications:

• Proven experience as a Company Secretary or similar role.
• Thorough understanding of the legal and regulatory framework governing the company.
• Strong organizational skills and attention to detail.
• Excellent communication, negotiation, and interpersonal skills.
• Ability to work independently and manage multiple priorities.
• Proficiency in using office software, such as Microsoft Office Suite.

Preferred Qualifications:

• Experience in a listed company.
• Knowledge of financial and accounting principles.
• Experience working with boards of directors and senior management teams.

Experience- 1 year to 3 years

Salary -30 to 45 thousand

Job Types: Full-time, Permanent

Pay: ?11,941.70 - ?40,000.00 per month
