The Company Secretary will be responsible for ensuring that Secretarial and Regulatory Compliance requirements and maintains high standards of Corporate Governance. This role involves providing guidance to the board of directors on their legal and corporate governance responsibilities and ensuring effective communication with shareholders.

Ensure the company complies with all relevant secretarial, legal and regulatory regulations
Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
Maintain the company's statutory registers and ensure they are up to date.
Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
Record and maintain minutes of Board Meetings, Committee Meetings and other General Meetings including Annual General Meetings.
Draft resolutions, Circular resolutions, various agreements, etc.
Filing necessary forms with ROC, RBI and other regulatory authorities
Advise the board and its committees on governance matters
Dispute Resolution process and recording every reply.
Maintain and ensure the safe custody of the Company's corporate records, such as the company's constitution, board and committee charters, and policies, etc.
Filing of regulatory returns with RBI on time and pro-actively monitor changes in relevant legislation, rules, circulars, etc.
Provide legal advice to the board and senior management.
Manage the corporate risk framework, ensuring that risks are identified, assessed, and managed.
Oversee the development and implementation of corporate policies relating to ethical business conduct and corporate governance
Qualifications and Skills
Qualified member of the Institute of Company Secretaries of India (ICSI).
A degree in law (optional).
Strong knowledge of corporate law, regulatory law and governance.
Excellent organizational and time-management skills.
Strong communication and interpersonal skills.
Attention to detail and the ability to handle confidential information with discretion.
Proficiency in using relevant software and tools for corporate administration.
Additional Information
This role may require occasional travel and attendance at meetings outside regular business hours.
Continuing professional development is expected to maintain knowledge of changing legislation and regulatory requirements.

Pay: ?30,000.00 - ?40,000.00 per month
