Job Description

• Ensuring that the Company follows best practices and maintains transparency, accountability and ethical standards in operations. Must ensure that the company standards are properly complied with before signing new deals.
• Providing updates and information regarding the Company's compliances relating to various legal and regulatory requirements to the MD / Board of Directors and ensuring that the complies with all secretarial standards.
• Advising the Management on good governance practices and compliances of Corporate Governance norms as prescribed under various Corporate, Securities and other Business Laws and Regulations.
• Responsible for facilitating towards conducting meetings including general meetings, board meetings and committee meetings and ensures minutes of discussions, decisions and actions taken during the meetings are accurately recorded and also responsible for obtaining necessary approvals from general meetings, board meetings, government authorities and relevant entities as mandated by the provisions of the Companies Act.
• Representing the Company before regulators, government authorities and relevant entities as required under Companies Act.
• Assisting the Company Board in conducting the Company's affairs and providing support in decision making process, policy formulation and strategic planning to ensure smooth functioning of the Company.
• Ensuring the Memorandum and Articles of Association are properly complied with and in case any amendments are issued, they are implemented in the right manner,
• Responsible for maintaining Statutory Registers regarding the members, company charges and Directors etc. Needs to co-ordinate and co-operate with liasoning authorities and external regulatory.
• Must play a vital role in implementing acquisitions, disposals and mergers. Must make sure that proper documentation is in place and proper commercial evaluation is done.
• Ensure integrity and value practices are evangelised and strictly practised.
• Submitting a detailed MIS report to the Managing Director by 10th of every month.

Job Type: Full-time

Pay: ?100,000.00 - ?120,000.00 per month
