We are looking for a qualified and experienced Company Secretary to join our growing team. You will play a vital role in ensuring our company's compliance with all relevant regulations and corporate governance standards.
Responsibilities:• Advise on and ensure compliance with the Companies Act, SEBI regulations, RBI/FEMA regulations, and other applicable laws and regulations specific to the Fintech industry.
• Stay abreast of the latest regulatory developments in the Fintech space.
• Manage and maintain statutory registers and minute books.
• Convene and conduct board and general meetings, ensuring proper procedures and documentation.
• Prepare and file all necessary regulatory filings with the Registrar of Companies (ROC), SEBI, RBI, and other relevant authorities.
• Act as a custodian of the company's seal and ensure its proper usage.
• Liaise with external auditors, lawyers, and other professional advisors.
• Assist with corporate actions such as mergers and acquisitions, share issuances, and corporate restructuring.
• Manage shareholding records and dividend distribution.
• Foster good corporate governance practices within the company.
• Prepare the annual report and other board and committee papers.
Qualifications:• Member of the Institute of Company Secretaries of India (ICSI).
• 5+ years of experience as a Company Secretary, preferably in the Fintech industry.
• Strong understanding of the Companies Act, SEBI regulations, RBI/FEMA regulations, and other relevant Fintech regulations.
• Excellent analytical and problem-solving skills.
• Meticulous attention to detail and accuracy.
• Strong communication and interpersonal skills.
• Ability to work independently and as part of a team.
• Proficient in MS Office Suite and familiar with company secretarial software.
