Jhandewalas Food Pvt. Ltd. is seeking an experienced and detail-oriented Company Secretary (CS) with a minimum of 2 years in a similar role. The ideal candidate will be responsible for ensuring the company complies with statutory and regulatory requirements, managing board meetings, and upholding corporate governance standards.

Key Responsibilities:

• Compliance Management : Ensure adherence to corporate laws, regulatory and statutory requirements, and report to higher management.
• Board Meetings : Organize and prepare agendas, minutes, and documents for board meetings and AGMs.
• Filing and Reporting : Submit statutory returns, file annual returns, and financial statements with ROC.
• Corporate Governance : Support the board in implementing corporate governance practices and monitor relevant legislation.
• Legal Advisory : Provide guidance on corporate laws and compliance issues.
• Liaison with Regulatory Authorities : Act as a contact with regulatory bodies, including SEBI, stock exchanges, and ROC.
• Shareholder Relations : Manage shareholder communication and handle share-related documentation.
• Record Management : Maintain statutory books, registers, and secretarial files securely.

Key Performance Indicators (KPIs):

• Timeliness of Statutory Filings :
• KPI : Submission of all required statutory filings by the due dates.
• Measurement : % of on-time filings with ROC and other regulatory bodies.
• Target : 100% on-time compliance.
• Accuracy of Board Documentation :
• KPI : Accuracy in the preparation of board meeting minutes, agendas, and reports.
• Measurement : % of errors or discrepancies in documentation.
• Target : <2% error rate.
• Compliance Rate :
• KPI : Compliance with corporate governance and regulatory standards.
• Measurement : Number of compliance issues identified by regulatory authorities.
• Target : Zero compliance issues.
• Board Meeting Management Efficiency :
• KPI : Timely and organized conduct of board meetings and AGMs.
• Measurement : Time taken to organize meetings and distribute documents in advance.
• Target : Documentation circulated at least 7 days before meetings.
• Regulatory Liaison Effectiveness :
• KPI : Responsiveness to queries from regulatory bodies.
• Measurement : % of regulatory queries responded to within the expected time frame.
• Target : 100% timely responses.

• Effective Compliance Management :
• Result : The company remains fully compliant with legal and regulatory requirements without any penalties.
• Measurement : Absence of fines, penalties, or notices from regulatory bodies.

• Effective Record-Keeping and Documentation :
• Result : Statutory records, registers, and documents are maintained up-to-date and in compliance.
• Measurement : Successful audit results with no discrepancies in statutory records.
• Improvement in Legal Advisory and Risk Mitigation :
• Result : Effective advisory and proactive risk mitigation lead to fewer legal issues and smoother operations.
• Measurement : Number of legal issues successfully resolved and mitigated with minimal impact.

Job Type: Full-time

Pay: ?25,000.00 - ?35,000.00 per month
