Ensuring compliance under the Companies Act, 2013, SEBI Regulations, Secretarial Standards and the provisions of all allied Acts, Rules and Regulations.
Ensuring listing related compliances and requirements of Stock Exchange(s) viz. BSE and NSE.
RBI compliances applicable to the Company and overseas subsidiaries
Preparing Agenda, Resolution(s) and Minutes of the meeting of Board of Directors, Committees and General Meetings and ensuring Post meeting compliances.
Conducting Board Meetings, Committee Meetings, General Meetings.
Preparation of Annual Report viz. Notice, Directors Report, Corporate Governance Report etc. and e-filing of all returns/forms.
Maintenance of Statutory Records and Registers.
Other secretarial compliances of listed as well as non-listed subsidiaries/associates/group companies/overseas subsidiaries.
Compliances and liaising with the Ministry of Corporate Affairs, Registrar of Companies, the Reserve Bank of India, Securities and Exchange Board of India, Stock Exchanges, and other statutory authorities.
Knowledge of FEMA Capital account transactions and hands on experience of filing of FC-GPR, FC-TRS, DI, FLA, APR under FEMA
Liaise with external regulators and advisers such as lawyers and auditors.
Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its statutory requirements.
Take an active role and provide valuable input to the management decisions related to dividend, share issues, mergers, and takeovers.
