: As a Company Secretary who has handled listed company compliances, you will be responsible for managing the Secretarial Function of the company. Key responsibilities:
• Ensuring compliance under the Companies Act, 2013 for listed and unlisted Companies.
• Ensuring compliance under the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, SEBI Insider trading Regulations & SDD tools, Takeover Code and Secretarial Standards and the provisions of all allied Acts, Rules and Regulations.
• Ensuring SEBI compliances and listing related compliances and requirements of Stock Exchange(s) viz. BSE and NSE.
• RBI compliances applicable to Non-Banking Finance Companies (NBFC's).
• Preparing Agenda, Resolution(s) and Minutes of the meeting of Board of Directors, Committees and General Meetings.
• Conducting Board Meetings, Committee Meetings, General Meetings.
• Preparation of Annual Report viz. Notice, Directors Report, Corporate Governance Report etc. and e-filing of all returns/forms.
• Maintenance of Statutory Records and Registers.
• Ensure all compliances for Dividend payout.
• Maintain the IEPF claims & matters.
