Ensure the company complies with all statutory, legal, and regulatory requirements under the Companies Act and other relevant laws.
Maintain and update statutory registers, records, and documents.
Ensure timely filing of returns and forms with the Registrar of Companies (ROC) and other regulatory bodies.
Board & Committee Meetings
Organize, attend, and accurately record minutes of Board meetings, AGMs, EGMs, and Committee meetings.
Prepare meeting agendas, notices, and resolutions in coordination with the Board.
Liaison & Communication
Act as the point of contact between the company and external regulators, government authorities, and stakeholders.
Maintain effective communication with shareholders, ensuring their rights and interests are protected.
Corporate Filings & Documentation
Draft and review contracts, agreements, and company policies.
Monitor changes in corporate laws and advise management accordingly.
Support for Mergers, Acquisitions, and Restructuring
Provide secretarial and legal support for any mergers, acquisitions, or corporate restructuring.
Manage due diligence and maintain proper documentation.
Risk Management & Ethics
Promote corporate ethics, good governance practices, and a compliant culture.
Identify risks related to compliance and governance and recommend mitigation measures.
Job Requirements:
Education:
Graduation / Post Graduation. Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI) will be given priority
Experience:
Minimum 2 years of relevant experience in a corporate or consulting environment
Legal Knowledge:
Sound understanding of corporate laws, SEBI regulations, FEMA, and other applicable laws
Communication Skills:
Strong written and verbal communication in English; additional languages are a plus
Technical Proficiency:
MS Office Suite (Word, Excel, PowerPoint); knowledge of legal and secretarial software is an advantage
