Company Secretarial Functions:
• Ensure compliance with all applicable laws, rules, and regulations pertaining to company operations, corporate governance, and shareholder relations.
• Facilitate board and committee meetings, including preparation of agendas, minutes, and resolutions.
• Manage the filing of statutory returns and other documents with regulatory authorities such as SEBI, NSE, BSE, and MCA.
• Maintain and update statutory registers, records, and books of the company.
NSE/BSE Compliance:
• Oversee compliance with listing regulations, disclosures, and reporting requirements of both NSE and BSE.
• Coordinate with external legal counsel, auditors, and advisors on matters related to securities laws and stock exchange regulations.
• Handle investor relations and communication with stakeholders on regulatory matters.
NBFC Regulatory Compliance:
• Ensure compliance with RBI regulations and guidelines applicable to Deposit Taking NBFCs.
• Monitor changes in regulatory requirements and implement necessary changes to policies and procedures.
• Prepare regulatory filings and reports required by the RBI and other regulatory bodies.
Related Party Transactions:
• Implement and oversee policies and procedures related to related party transactions as per applicable regulations and company policies.
• Ensure compliance with disclosure requirements and approval processes for related party transactions.
Scale Based Regulation:
• Understand and comply with scale-based regulation frameworks applicable to the company's operations.
• Advise senior management on regulatory changes impacting the company's scale-based categorization.
IEPF (Investor Education and Protection Fund):
• Manage compliance with IEPF rules and regulations, including transfer of unclaimed dividends, shares, and other assets to the IEPF authority.
PIT (Prohibition of Insider Trading) Regulations:
• Implement and monitor adherence to PIT regulations to prevent insider trading activities within the organization.
• Conduct training programs and awareness sessions for employees on PIT regulations.
