A Company Secretary plays a critical role in ensuring a company's compliance with legal and regulatory requirements, managing corporate governance, and supporting the Board of Directors in their functions.
Ensure the company complies with statutory regulations and corporate governance requirements.
Keep the board informed of any changes in regulations, policies, or legal requirements.
Organize and prepare agendas, documents, and minutes for board meetings and committees.
Ensure that board decisions are properly communicated and implemented.
Advise the board on best practices in corporate governance.
Organize annual general meetings (AGMs) and extraordinary general meetings (EGMs), ensuring all legal and procedural requirements are met.
Ensure the proper execution of any mergers, acquisitions, or business restructuring.
Contribute to the development and maintenance of corporate policies, procedures, and codes of conduct.
