• Governance and Compliance:
Ensure the company complies with its governing documents, relevant legislation, and regulations.
Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
• Board and Committee Support:
Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
Take minutes, draft resolutions, and lodge required forms and annual returns with relevant authorities.
Advise board members and executives on corporate governance matters.
• Communication and Liaison:
Act as the point of contact and maintain relationships with shareholders, regulatory bodies, and other stakeholders.
Communicate with external parties such as regulators, auditors, and outside legal counsel.
• Legal and Regulatory Compliance:
Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
Ensure that company policies and procedures comply with statutory and regulatory requirements.
• Record Keeping and Documentation:
Maintain statutory books, including registers of members, directors, and secretaries.
Handle correspondence, collate information, write reports, and communicate decisions to relevant company stakeholders.
• Risk Management:
Ensure the company's risk management strategy is followed and manage issues of compliance and risk.
Advise on conflict of interest management and act as a whistle blower if necessary.
• Corporate Governance:
Promote the highest standards of corporate governance and contribute to the integrity of the governance framework.
Implement policies and procedures to ensure effective and efficient governance processes.
• Other Duties:
Provide support in other compliance-related tasks as required.
Stay updated with industry trends and best practices.
