Job Title: Company Secretary
Reports to: Board of Directors/CEO
Department: Corporate Governance
Location: Delhi
Job Summary:
The Company Secretary is responsible for ensuring the company complies with all legal and regulatory requirements, maintaining accurate records, and providing administrative support to the Board of Directors.
Key Responsibilities:
Corporate Governance
1. Ensure compliance with company law, regulatory requirements, and best practices.
2. Maintain accurate and up-to-date records of company documents, including the register of members, directors, and secretaries.
3. Prepare and file annual returns, accounts, and other statutory documents.
Board Support
1. Provide administrative support to the Board of Directors, including preparing agendas, minutes, and resolutions.
2. Coordinate board meetings, including arranging logistics and communicating with directors.
3. Ensure accurate and timely distribution of board papers and other materials.
Shareholder Relations
1. Communicate with shareholders, including responding to queries and providing information.
2. Coordinate shareholder meetings, including preparing notices, agendas, and minutes.
3. Ensure compliance with shareholder regulations and requirements.
Regulatory Compliance
1. Monitor and ensure compliance with regulatory requirements, including data protection, anti-money laundering, and financial reporting.
2. Develop and implement policies and procedures to ensure regulatory compliance.
Requirements:
- Bachelor's degree in Law, Business Administration, or related field.
- Professional certification in company secretarial practice (e.g., ICSA, ACIS).
- 3+ years of experience as a company secretary or in a related role.
- Strong knowledge of company law, regulatory requirements, and corporate governance best practices.
- Excellent communication, organizational, and administrative skills.
Desirable Skills:
- Experience with company secretarial software and systems.
- Knowledge of data protection and anti-money laundering regulations.
- Certification in data protection or anti-money laundering.
- Experience working with boards of directors and senior management.
