Responsibilities:
• Independent handling of companies / overall in-charge of companies and Limited Liability Partnerships.
• Conducting secretarial due diligence of companies and LLPs.
• Preparation of resolutions, notice, agenda, directors' report, compliances as per secretarial standards and minutes of board & committee(s) meetings.
• Filing of various forms, intimations, returns with MCA and coordination with ROC, Auditors, Registrar and Share Transfer Agent and other internal / external stakeholders.
• Admission of shares & debentures in Depository, Obtaining ISIN, Corporate Action for credit of securities.
• Assistance to Finance and Accounts team on matters such as Corporate Governance, raising of Debt, Private Equity and other financial and corporate restructuring.
• Assistance to Corporate Litigation teams in Companies Act disputes, specifically such as Oppression, Mismanagement, Restorations, Prosecutions by RoC, Statutory approvals from Tribunals, etc.
• Assistance to General Corporate Advisory teams in day to day management of corporate affairs of the clients of the member firms.
• Assistance to Insolvency and Bankruptcy Code Advisory and Litigation teams on issues arising out of Companies Act and IBC, specifically related party transactions, PUFE transactions, due diligence, drafting of Resolution Plans, analysis of Companies and LLPs, etc.
• Assistance go Contracts team in reviewing / vetting of documents, agreements viz SHA, SSA, DMA, CCD Agreement, NCD Agreement etc.
• Practice Development and Management
• Building and supervising team on the Secretarial Practice
• Participating in Events and assisting in knowledge management for the practice
• Independent handling of companies / overall in-charge of companies and Limited Liability Partnerships.
• Advisory on Corporate Governance, related party transactions, Due Diligence, CSR, etc.
• Advisory and compliance of transactions relating to Private Equity, Private Placement, Mergers, Amalgamations and Takeovers.
• Advisory and compliance of issuance of securities viz Rights Issue and Private Placement offer.
• Advisory to clients of the Member firms on other Secretarial matters arising out of Companies Act, FDI, FEMA, RBI, SEBI, Depositories Act and other related laws.
Eligibility, Experience, Expertise and Knowledge
Atleast 5 years PQE in Consulting/ Advisory
Hands on experience in independent handling of companies and LLPs
Sound knowledge of Companies Act and Rules
Knowledge of SEBI, Depositories Act, FEMA and allied laws/ rules
Experience in liaison/ dealing with RoCs and other statutory authorities
Intent to keep oneself updated on new circulars, amendments, laws and judgments
Flair in drafting and excellent communication skills
Leadership skills and will to work in team with different professionals
Entrepreneurial approach and vision
Job Type: Full-time
Pay: ?13,171.28 - ?63,540.33 per month
