We are seeking a highly skilled and experienced Company Secretary to join our dynamic team. The ideal candidate will have 7-10 years of hands-on experience in managing Employee Stock Ownership Plans (ESOP), Initial Public Offerings (IPO), and hold a Certificate of Practice (COP). The Company Secretary will play a pivotal role in ensuring our company adheres to legal standards and in-house policies, providing sound corporate governance and secretarial services to the organization.
Key Responsibilities:
Corporate Governance:
• Ensure compliance with statutory and regulatory requirements.
• Advise the Board of Directors and senior management on corporate governance matters.
• Maintain and update corporate records, including registers of members, directors, and secretaries.
ESOP and IPO Management:
• Design, implement, and administer Employee Stock Ownership Plans (ESOP).
• Liaise with HR and finance departments to ensure accurate tracking and reporting of ESOP allocations.
• Provide guidance on ESOP regulatory compliance and best practices.
• Lead the company through the Initial Public Offering (IPO) process.
• Collaborate with external advisors, investment banks, and regulatory bodies to ensure a smooth IPO.
• Prepare and manage documentation required for the IPO, including prospectuses and registration statements.
Secretarial Duties:
• Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
• Take minutes, draft resolutions, and lodge required forms and annual returns with regulatory authorities.
• Ensure timely filing of documents with the Registrar of Companies and other relevant bodies.
Legal Compliance:
• Monitor changes in relevant legislation and regulatory environment.
• Ensure the company's policies comply with legal and statutory requirements.
• Provide legal and administrative support in contracts, agreements, and other legal documents.
Certificate of Practice (COP):
• Utilize the Certificate of Practice (COP) to offer professional services and advice.
• Ensure adherence to the standards and ethical guidelines set forth by the regulatory bodies.
Qualifications and Skills:
• Education: Bachelor's/master's degree in law, Business Administration, or a related field.
• A professional qualification such as ICSI (Institute of Company Secretaries of India) or equivalent.
• Experience: 7-10 years of relevant experience as a Company Secretary.
• Certifications: Must hold a valid Certificate of Practice (COP) in CS.
• Knowledge: In-depth knowledge of corporate governance, company law, and securities regulations.

Pay: ?50,000.00 - ?150,000.00 per month
