Salary Range : 35,000 - 50,000

Candidate from Financial industry background or from NBFC are preferable .

The Company Secretary is responsible for ensuring the organization complies with standard financial and legal practices and maintains high standards of corporate governance. The role involves managing regulatory requirements, corporate records, and communication between the board of directors and stakeholders.

Corporate Governance:

• Ensure the company complies with statutory and regulatory requirements.
• Maintain high standards of corporate governance and ensure that decisions of the board of directors are implemented.
• Provide guidance to the board on corporate governance principles and board practices.

Board Meetings:

• Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
• Take and distribute minutes, ensure accurate records are kept and follow up on action items.
• Advise the board on its responsibilities and ensure the board functions effectively and efficiently.

Regulatory Compliance:

• Keep up to date with any regulatory or statutory changes and policies that might affect the organization.
• Ensure that the company complies with financial and legal requirements, and maintain its high standards of corporate governance.
• Manage the company's compliance with relevant statutory and regulatory requirements, including filing annual returns and financial statements.

Records Management:

• Maintain the company's statutory books, including registers of members, directors, and secretaries.
• Ensure the safe custody and proper use of the company seal.

Communication:

• Communicate with shareholders and ensure that due regard is paid to their interests.
• Oversee the communication with stakeholders and the public, ensuring transparent and clear communication.
• Handle correspondence, collate information, write reports and ensure decisions made are communicated to the relevant company stakeholders.

Advisory Role:

• Advise directors and board members on their legal and corporate responsibilities and matters of corporate governance.
• Provide support in the development of corporate strategy and major corporate decisions.

Legal Documentation:

• Draft, review, and manage legal documents, contracts, and agreements.
• Provide legal and administrative support to the board.

Risk Management:

• Identify and manage risks to the organization, ensuring robust risk management policies are in place.
• Support the board in ensuring that effective risk management and internal controls are in place.

Qualifications:

• Bachelor's degree in Law, Business Administration, or related field.
• Chartered Secretary qualification (ICSA or equivalent) preferred.
• Minimum of 4 years of experience in a company secretarial role.
• In-depth knowledge of corporate governance, company law, and financial regulations.
• Excellent organizational, communication, and interpersonal skills.
• Strong attention to detail and ability to manage multiple tasks simultaneously.
• Proficiency in using governance software and MS Office applications.

Pay: ?35,000.00 - ?50,000.00 per month
