Job Overview:
The role is for a Company Secretary for our SME IPO Team. He/She will support and lead SME IPO activities for our clients. This position requires a deep understanding of the legal and regulatory landscape surrounding public offerings and corporate governance.
Key Responsibilities:
1. IPO Preparation and Execution
A. Client Advisory
Lead our clients through the IPO process, right from initial planning to final listing at the exchange
Ensure All client documents are in order and upto the standards required per law
Ensure client is in compliance with regulatory and statutory requirements
Review client's historical submissions to entities and ensure accuracy of the same.
Identify and mitigate legal and regulatory Risks associated with the IPO and ongoing public company operations.
B. Filings Preparation:
Prepare and review all IPO related documentation, including the prospectus, regulatory filings, and shareholder communications and notices
Ensure filings, submissions and representations etc made to investors, SEBI and/or the exchange comply with regulations and requirements of SEBI, Stock Exchange etc and best reflect the position of the client
Coordinate with internal team, internal and external advisors, including legal counsel, investment bankers, auditors, and regulators for preparation of deal collateral materials and draft filings (DRHP, RHP etc )
Prepare and review all IPO related documentation, including the prospectus, regulatory f ilings, and shareholder communications
C. Investor Relations:
Assist in the preparation of marketing materials for roadshows and other investor relations activities Support Roadshow and investor conference activities to showcase the client and to clarify issues.
Support client in preparing responses to queries from investor, regulator or other parties D. Corporate Governance
Ensure the company's compliance with all statutory and regulatory requirements as a public company.
Maintain and update corporate records, including board minutes, shareholder resolutions, and statutory registers.
E. Regulatory Compliance
Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
Ensure timely and accurate disclosures to regulatory bodies and the stock exchange.
Qualifications Education:
Qualified Company Secretary with Minimum 4 Years PQE Experience:
Experience of executing atleast two SME IPO Experience of working on public issues other than IPO (Good to have) Skill-set:
Conversant with IPO Process Conversant with Securities laws Updated knowledge of SEBI regulations and guidelines wrt securities issues Deep understanding of Compliance requirements In-depth knowledge of corporate governance, securities laws, and regulatory requirements. Excellent organizational and communication skills. Strong attention to detail and ability to manage multiple tasks and deadlin
