panies. * Manage the endo-end process of converting a private limited company into a public limited company. * Prepare and file necessary documents with the Registrar of Companies (RoC), Securities and Exchange Board of India (SEBI), and other regulatory bodies. * Coordinate with legal advisors, auditors, and other stakeholders to ensure smooth transition and compliance with all legal requirements. * Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs). * Ensure the timely distribution of agendas and board papers. * Take and produce minutes, draft resolutions, and follow up on actions from meetings. * Act as the point of contact and communicate with shareholders, regulators, and external advisers, such as lawyers and auditors. * Handle correspondence, collate information, and write reports, ensuring decisions made are communicated to the relevant company stakeholders. * File required documents with the Registrar of Companies, SEBI, and other statutory bodies. * Maintain statutory books, including registers of members, directors, and secretaries. * Ensure that the company meets its compliance obligations under relevant laws and regulations, such as filing annual returns, and updating statutory registers. * Advise the board and senior management on corporate governance matters. * Oversee the compliance and risk management framework of the company. * Review and draft legal documents, contracts, and agreements. * Assist in the preparation and filing of the Draft Red Herring Prospectus (DRHP) and Red Herring Prospectus (RHP) with SEBI. * Coordinate with investment bankers, legal advisors, and auditors for Initial Public Offering (IPO) process. * Ensure compliance with listing requirements of stock exchanges. * Assist in the preparation of the annual budget and financial forecasts. * Oversee the preparation of financial statements and ensure compliance with statutory requirements. * Ensure timely disclosure of financial and other material information to shareholders and regulators. * Conduct training for directors and senior managers on corporate governance, regulatory requirements, and the transition to a public company. * Keep abreast of developments in corporate governance and industry practices.
