The Company Secretary Associate role holder will act as primary support for the Corporate Governance & Security team to help ensure that the Remuneration Committee, the Group People Committee, the Global HR Executive Committee and other relevant governance forums, their Directors, Members and Officers comply with all relevant statutory and regulatory obligations.
Regularly undertake research to help facilitate informed organizational decision-making through analyzing and interpreting qualitative and quantitative data and evaluating industry trends. The role holder will approach research in collaborative manner which will help develop comprehensive reports and presentations that outline research findings and recommendations.
The role holder will support with the team responsibilities related to external stakeholder engagement and will help support senior colleagues discharge their obligations to the investment community - specifically institutional investors and proxy advisors - to align external messaging and manage responses to remuneration and people governance related matters.
Following appropriate processes and procedures and understanding statutory and regulatory obligations. Maintenance of accurate and complete statutory records using Digital Governance and Globe.
Contributing to the development and implementation of corporate governance best practice, corporate governance frameworks and best practice in accordance with Group standards. Undertake ad-hoc governance and strategic projects on behalf of the team leveraging functional expertise as required.
Support with Corporate Governance & Security simplification initiatives and projects within HR and across the Group RemCo, including meeting simplification, digitization of governance, and delegations of authority.
In addition, the individual will: - contribute (supporting or leading) to projects and tasks; contribute to corporate transactions, regulatory projects and regulatory submissions; manage a wide range of relationships with key internal stakeholders; and track and act upon changes in relevant legislation and regulation.
Requirements
Qualified company secretary or lawyer with broad experience in a high quality, large and complex organization.
Strong understanding of legal entity corporate governance obligations. Financial services experience is desirable but not essential.
Proven ability to develop and maintain strong relationships at a senior leadership level. Excellent analysis, design and problem-solving skills.
Able to deal with and constructively resolve conflicting views and where necessary, escalate to senior management in a clear and succinct manner and understand and consolidate diverse and complex business information and identify / mitigate issues.
Provide effective representation of requirements across a multitude of business and change initiatives.
Ability to deal effectively with ambiguity, complex matrix environment and multiple stakeholders and look at the bigger picture as well as have a keen eye for detail.
