Job description

Expert Point is looking for a Associate - RoC / Compliance who can work independently and to manage team with ownership. Advanced Knowledge on regulations and Companies act is must.

We have immediate openings for Experienced candidates for Associate - RoC / Compliance role at our Chennai Location.

Job Responsibilities and Requirements:

Candidates should have 3+ years experience in RoC

Good knowledge of Companies Act, RBI Compliance , Rules, circulars, amendments thereon

Excellent Drafting skills for drafting Board note and Minutes

Preparation of Directors' Report as per Companies Act, 2013;

Preparation of Annual Return as per Companies Act, 2013;

Filling up statutory registers;

Preparation of Form DIR - 8 and MBP - 1 for obtaining annual disclosures from the Directors in accordance with Companies Act, 2013;

Preparation of declaration of independence required to be obtained from independent directors;

Formation of various committees as required under Companies Act, 2013;

Appointment of Director, Internal Auditors, Statutory Auditors, Secretarial Auditor and filing various documents with SEBI and ROC pursuant to such appointment;

Preparation and filing of various forms with ROC under Companies Act, 2013;

Compliance pertaining to performance evaluation of directors and Board as a whole as per the provisions of the Companies Act, 2013.

Preparation and submission of addendums/notices.

Ability to coordinate with functions to ensure adherence to all Compliance related guidelines

Ability to make informed proposals for any extent/future guidelines implications.

Ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the Board are implemented.

Responsibility to ensure that the company and its directors operate within the regulations.

Knowledge on Registration of government licensing

The candidate should have good team management and client handling skills.

English proficiency is MUST. Male Candidates preferred but not limited.

Job Types: Full-time, Permanent

Pay: ?240,000.00 - ?360,000.00 per year
