A. CA
1. Organizing and preparing agendas and papers for Board Meetings, Committees and Annual General Meetings (AGMs) 2. Compliance with Listing Agreement including Corporate Governance Compliance 3. Promotion, formation and incorporation of group companies and matters related therewith 4. Listing of Securities with Stock Exchanges and Admission with Depositories 5. Handling ESOP/ESPS, Dividend Payout, Postal Ballot through E-Voting 6. M&A Hands on Support in Merger of Group Companies 7. Preparation of Corporate & Earnings Presentations, Press Releases, Communications etc. 8. Managing Investor Relations Section of the Company's Website 9. Organizing Investor Meetings, Road Shows, Plant Visits 10. Taking minutes, drafting resolutions, lodging required forms and Annual Returns with Registrar of Companies 11. Overseeing policies, making sure they are kept up to date and referred to the appropriate Committees for approval 12. Maintaining statutory books, including registers of members, directors and KMP 13. Contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting, and tax implications of proposed policies 14. Monitoring changes in relevant legislation and the regulatory environment and taking appropriate actions 15. Following up on actions from Meetings 16. Liaison with ROC, SEBI, Stock Exchanges, Depositories, Stockbrokers, RTA (registrars and transfer agents) 17. Liaisoning with external regulators and advisors, such as lawyers and auditors and overseeing public relations 18. Dealing with correspondence, collating information, and drafting reports
B.Legal
1. Drafting Vendor & Customer Contracts & other related documentation 2. Support business teams in reviewing, drafting, and negotiating legal documentation 3. Working with Cross Functional Teams to provide legal assistance in finalizing routine legal documents like non-disclosure / confidentiality agreements, engagement letters, extensions and renewals, amendments to various agreements etc. 4. Coordinate with external legal consultants/advocates/law firms on various legal matters. 5. Developing and overseeing the systems that ensure the Company complies with all applicable laws, in addition to its legal and statutory requirements 6. Handling litigations relating to Company & Securities laws 7. Filing of IPR's and sending notices for infringement
